1. What Virtual Waitress Is

Virtual Waitress is a Software-as-a-Service (SaaS) platform that enables restaurants to create digital menus accessible to customers via QR codes. The platform includes:

• A customer-facing digital menu (accessible by scanning a QR code — no account required)
• A real-time ordering system that sends orders to restaurant staff
• A waiter dashboard for managing and fulfilling incoming orders
• A manager dashboard for restaurant administration and analytics

2. Who These Terms Apply To

These terms apply to two types of users:

• Restaurant owners and staff ("Restaurant Users"): Anyone who creates or manages a restaurant account on the platform.
• Customers ("End Users"): Diners who access a restaurant's digital menu by scanning a QR code. End users do not create accounts.

3. Service Plans

Free: Available to all restaurant users at no cost. Includes up to 1 waiter account, 5 tables, and 20 menu items, plus QR card printing and basic waiter activity tracking. We reserve the right to update the features included in the free plan with reasonable notice.

Growth: A paid subscription for growing restaurants. Includes up to 5 waiter accounts, unlimited tables, unlimited menu items, and full analytics including revenue tracking and waiter performance history.

Pro: A paid subscription for multi-location operations. Includes unlimited waiter accounts, up to 3 restaurant locations, and everything in the Growth plan. Pricing for all paid plans is displayed on our website and may be updated with 30 days' notice to existing subscribers.

Paid plan features are only active while a subscription is current. If a subscription lapses, the account reverts to the Free plan automatically.

4. Restaurant User Responsibilities

As a restaurant user, you agree to:

• Provide accurate information about your restaurant, including correct menu items and pricing
• Keep your menu updated to reflect actual availability
• Ensure your staff uses the platform responsibly and securely
• Safeguard your login credentials and access codes
• Not share your account access with unauthorised third parties
• Not use the platform for any unlawful purpose
• Not attempt to reverse-engineer, copy, or misuse the platform

You are solely responsible for the accuracy of your menu content and for fulfilling orders placed by customers through your restaurant's digital menu.

5. Our Responsibilities

We will:

• Make reasonable efforts to keep the service available and functional
• Protect your data in accordance with our Privacy Policy
• Notify you of significant changes to the service or these terms
• Provide support for onboarding and technical issues where reasonably possible

We do not guarantee 100% uptime. Scheduled maintenance or unforeseen outages may cause temporary unavailability.

6. Payments and Refunds

Growth and Pro plan subscriptions are available on monthly, 6-month, and annual billing cycles. Payments are processed via our designated payment provider. By subscribing, you authorise charges to your chosen payment method for the selected billing period.

Refunds are considered on a case-by-case basis. If you believe you were charged in error, contact us within 7 days of the charge at codedbryt@gmail.com.

7. Intellectual Property

Virtual Waitress, its design, branding, and underlying software are owned by NgwaNgwa Digital. You may not copy, reproduce, or distribute any part of the platform without written permission.

Your restaurant's menu content (names, descriptions, photos) remains your property. By uploading it to Virtual Waitress, you grant us a licence to display it to your customers through the platform.

8. Termination

You may cancel your account at any time by contacting us. We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or cause harm to other users or the platform.

On termination, your restaurant data will be retained for 30 days before permanent deletion, giving you time to export anything you need.

9. Limitation of Liability

Virtual Waitress is provided "as is." To the maximum extent permitted by law, NgwaNgwa Digital is not liable for:

• Loss of revenue or business arising from service downtime
• Errors in orders placed through the platform
• Disputes between restaurants and their customers
• Data loss due to circumstances beyond our reasonable control

10. Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Anambra State, Nigeria.

11. Changes to These Terms

We may update these terms from time to time. We will notify restaurant users of material changes via email or in-app notice. Continued use of the platform after changes constitutes acceptance of the updated terms.
